1. What’s in these terms

1.1 These terms tell you the rules for registering to attend our Yours Truly Product Launch Event (the Event) via the form on our website: https://yours-truly.com/.

1.2 Please read these terms carefully before you submit your registration.

1.3 If you think there is a mistake in these terms or require any changes, please contact us using the details set out in these terms.

2. Who are we and how to contact us

2.1 https://yours-truly.com/ is a website operated by Radio Net Media Limited (Radio Net / We / Our / Us). Radio Net is a limited company registered in England and Wales under company number 10483422. We have our registered office at 71-75 Shelton Street, Covent Garden, London, England, WC2H 9JQ.

2.2 Our VAT number is GB 292 5408 88.

2.3 You can contact us at any time by writing to us at gaga@adtonos.com.

2.4 If we have to contact you, we will do so by writing to you at the email address you provided to us in your registration.

3. How we will accept your registration

3.1 Our acceptance of your registration will generate a confirmation message. Please note this is confirmation of your registration and not confirmation that you have been allocated a place at either the in-person or virtual Event.

3.2 We will write to the email address you provided to us in your registration on or after 18 October 2022 to inform you whether you have been allocated a place at the in-person or virtual Event. We reserve the right in our sole discretion to refuse allocation for either ticket offering.

3.3 If you have been allocated a place you will be sent a referral link to your ticket offering (in-person or virtual) and you must confirm your acceptance by writing to us at gaga@adtonos.com. At this point a contract is formed between us. You will be able to choose your seat following our confirmation of receipt of your email.

3.4 If you think your booking receipt is wrong please contact us promptly to let us know.

3.5 We will inform you in writing if any changes are made to the Event prior to it taking place and you will have the right to cancel your booking. Please see our cancellation provisions at Clause 6 (Your rights to end the contract and cancellation) below.

4. Tickets

4.1 If you are attending the virtual Event we will send you a link to the live stream to the email address you provided to us in your registration. Please check all email folders before you contact us to let us know that you have not received a link.

4.2 If you are attending the Event in-person we will send your e-ticket to the email address you provided to us in your registration. Please check all email folders before you contact us to let us know that you have not received your e-ticket.

4.3 This is a free Event and you will not be charged for the e-tickets.

4.4 We will need correct contact details from you and it is up to you to ensure that these are correct when registering. We will not be responsible for the late delivery of the link or e-ticket if your email address is incorrect.

4.5 We may have to suspend the supply of the link or e-ticket to:

4.5.1 deal with technical problems or make minor technical changes to our website;

4.5.2 make changes to the booking as requested by you or notified by us to you (see Clause 5.1);

4.6 If we are unable to provide a link or e-ticket to you, we will seek to make alternative arrangements to ensure that you can still attend the Event. Details will be provided to you in writing should this situation occur and will be considered on an individual basis.

5. Right to make changes

5.1 Your right to make changes. If you wish to make a change to your booking, please contact us promptly. We will let you know if the change is possible. If it is possible, we will let you know about anything necessary as a result of your requested change and ask you to confirm whether you still wish to go ahead with the change.

5.2 Our right to make changes.

5.2.1 Minor changes to the Event. We may change the Event:

a. to reflect a change in venue that is no more than 5 miles away from the original Event;

b. the host or a speaker or participant in the Event;

c. minor changes to the Event content.
These minor changes will not make a significant impact to the Event as advertised, and we will notify you as soon as possible of any minor changes.
5.2.2 More significant changes to the Event and these terms. We will notify you if there are any significant changes to the Event as advertised or these terms and you will have the right to cancel your booking. Please see our cancellation provisions at Clause 6 (Your rights to end the contract and cancellation) below.

5.3 Termination of your attendance at the Event. If we consider that your behaviour at the in-person or virtual Event is such that it is detrimental to the reputation of Radio Net and/or not in the best interests of the other attendees, then we reserve the right to request you to leave the in-person Event or to exclude you from the virtual Event. Examples of behaviour which may lead to your expulsion from the Event are:

5.3.1 making racist or homophobic comments;

5.3.2 making exaggerated claims regarding your company in order to promote it;

5.3.3 being aggressive or making demeaning comments about other attendees.

6. Your rights to end the contract and cancellation

6.1 You can always end your booking with us. If you wish to terminate your booking, you must contact us immediately.

6.2 Ending the contract because of something we have done or are going to do. If you are ending the contract for a reason set out at 6.2.1 to 6.2.5 below the contract will end immediately. The reasons are:

6.2.1 we have told you about an upcoming change to the Event or these terms which you do not agree to (see Clause 5.2);

6.2.2 we have told you about an error in the description of the Event and you do not wish to proceed;

6.2.3 we have suspended supply of the link or e-ticket for technical reasons, or notify you we are going to suspend them for technical reasons, in each case for a period of more than 14 days before the Event and cannot provide the link or e-ticket to you by any other method;

6.2.4 the Event is cancelled;

6.2.5 you have a legal right to end the contract because of something we have done.

6.3 Exercising your right to change your mind if you are a consumer (Consumer Contracts Regulations 2013). If you are a consumer then for most products bought online you have a legal right to change your mind within 14 days.

6.4 Ending the contract where we are not at fault and there is no right to change your mind. Even if we are not at fault and you are not a consumer who has a right to change their mind (see Clause 6.3), you can still end the contract before it is completed.

6.5 How to tell us you want to end the contract. To end the contract with us, please let us know by emailing us at gaga@adtonos.com at least 7 days prior to the Event. Please provide your name and details of the booking together with any booking reference.

6.6 Destruction of e-tickets after ending the contract. If you end the contract for any reason after you have received your e-tickets, you must destroy these.

7. Our responsibility for loss or damage suffered by you

7.1 Nothing in these terms shall limit or exclude our liability for:

7.1.1 death or personal injury caused by our negligence, or the negligence of our employees, agents or subcontractors (as applicable);

7.1.2 fraud or fraudulent misrepresentation;

7.1.3 breach of the terms implied by section 12 of the Sale of Goods Act 1979 or section 2 of the Supply of Goods and Services Act 1982.

7.2 Subject to Clause 7.1:

7.2.1 we shall not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit, or any indirect or consequential loss arising under or in connection with any contract between us;

7.2.2 our total liability to you for all other losses arising under or in connection with any contract between us, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to the sum paid by you for any tickets to the Event.

8. Force Majeure

8.1 In these terms Force Majeure Event means any event arising that is beyond the reasonable control of Radio Net including without limitation speaker or participant cancellation or withdrawal, supplier or contractor failure, venue damage or cancellation, health scares, industrial dispute, governmental regulations or action, military action, fire, flood, disaster, civil riots, acts of terrorism or war.

8.2 Where a Force Majeure Event has or may have in our sole discretion an adverse impact on: (i) our ability to hold the Event at the planned venue or on the planned date; or (ii) the Event generally, then we shall be entitled but not obliged in our sole discretion to either: (i) provide alternative facilities or venue for the Event; and/or (ii) reschedule the Event.

8.3 These terms shall apply in respect of any rearranged or rescheduled event organised by Radio Net pursuant to this Clause 8.

8.4 If, by reason of any Force Majeure Event, we are delayed in or prevented from performing any of our obligations under these terms, then such delay or non-performance shall not be deemed to be a breach of these terms and no loss or damage shall be claimed by you by reason thereof. Our obligations shall be suspended during the period of the delay or non-performance and you and we shall each use reasonable endeavours to mitigate the effect of the Force Majeure Event.

9. Substitutions

9.1 Substitutions with employees from your organisation are welcome at any time but in all other respects links and e-tickets are issued for your personal use only and cannot be share with any person before or during the Event.

9.2 You must email any substitutions to gaga@adtonos.com prior to the date of the Event. We will email you to inform you whether we have accepted the change. We reserve the right to refuse any substitution request at our sole discretion and requests will be considered on an individual basis.

9.3 You may not make a booking as agent for any third party or sell or otherwise transfer your link or e-ticket to others without our prior approval in writing, or exploit a booking commercially or non-commercially in any way.

10. Disclaimer

The views and opinions of invited speakers at the Event are not those of Radio Net. We do not certify the accuracy of information provided by speakers and being invited to present at or participate in the Event does not constitute or imply endorsement or recommendation by Radio Net of the speaker’s business.

11. Photography

11.1 Photographs and videos may be taken by Radio Net representatives for use on social media and websites associated with Radio Net.

11.2 If you do not wish to have your photograph taken then please contact us prior to the Event.

11.3 You are not permitted to record the Event or take photographs without our prior written consent.

12. How we may use your personal information

We will only use your personal information as set out in our Privacy Policy (https://www.adtonos.com/privacy-policy/).

13. Other important terms

13.1 We may transfer this agreement to someone else. We may transfer our rights and obligations under these terms to another organisation. We will contact you to let you know if we plan to do this. If you are unhappy with the transfer you may contact us to end the contract within 28 days of us telling you about it.

13.2 You need our consent to transfer your rights to someone else. You may only transfer your rights or your obligations under these terms to another person if we agree to this in writing.

13.3 Nobody else has any rights under this contract. This contract is between you and us. No other person shall have any rights to enforce any of its terms.

13.4 If a court finds part of this contract illegal, the rest will continue in force. Each of the paragraphs of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

13.5 Even if we delay in enforcing this contract, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under these terms, or if we delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.

13.6 Which laws apply to this contract and where you may bring legal proceedings. Any dispute or claim arising out of or in connection with a contract between us or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales and the courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim.

13.7 Alternative dispute resolution if you are a consumer. Alternative dispute resolution is a process where an independent body considers the facts of a dispute and seeks to resolve it, without you having to go to court. If you are not happy with how we have handled any complaint, please email gaga@adtonos.com and we will select an approved body who provides ADR from the Chartered Trading Standards Institute (www.tradingstandards.uk/commercial-services/adr-approved-bodies) website. You will not be charged for making a complaint and using the ADR Scheme and, if you are not satisfied with the outcome, you can still bring legal proceedings.
